Terms of Use

These Terms of Use ("Terms") are an agreement between you and MindPair Labs Private Limited, a company incorporated in India with its registered office at 47A, Gobind Park, Krishna Nagar, Delhi – 110051, India ("MindPair Labs", "we", "us"). They govern your use of our website (mindpairlabs.com) and our products, including the EventHelm platform (together, the "Services"). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes it.
1. Definitions
- "EventHelm" — our event operations platform for event setup, guest management, ticket design and generation, ticket distribution, check-in, reporting, and billing.
- "Organizer" — an account holder or organization using EventHelm to run events.
- "Guest" — a person an Organizer invites to an event and to whom tickets or messages are delivered.
- "Credits" — prepaid units purchased by an Organizer that are consumed by billable actions in EventHelm, such as message sends and ticket file downloads, as described in the product.
- "Content" — anything you upload or create in the Services, including event details, artwork, designs, and Guest data.
2. Eligibility and accounts
- You must be at least 18 years old and capable of forming a binding contract to use the Services.
- You agree to provide accurate registration information and keep it current. Sign-in uses one-time codes and linked social accounts; you are responsible for securing access to your email account and connected sign-in methods, and for all activity under your account.
- Roles and permissions within an organization are set by that organization's owners and administrators. We are not responsible for access decisions made within your organization.
- Notify us promptly at admin@mindpairlabs.com if you suspect unauthorized access to your account.
3. Your Content and Guest data
- You own your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display it solely as needed to provide the Services.
- You are responsible for Guest data. You represent and warrant that you have the lawful right — including any consent required by applicable law — to upload each Guest's contact details and to have tickets and event-related messages delivered to them via the channels you select.
- You must not upload data of any person who has asked you not to contact them, and you must honour opt-out requests from your Guests.
- For Guest data, you are the data controller and we act as your processor under the terms of our Privacy Policy.
4. Acceptable use
You agree not to, and not to permit anyone using your account to:
- Send unsolicited, bulk, or marketing messages through the platform, or message people who have no genuine connection to your event. The Services are for transactional event communication only.
- Upload unlawful, infringing, deceptive, or harmful content, or content you lack rights to use.
- Impersonate any person or organization, or misrepresent an event's nature, or sell tickets to events that do not exist.
- Attempt to probe, circumvent, or defeat security measures, including ticket QR signing, access controls, or rate limits; or forge, duplicate, or tamper with tickets.
- Reverse engineer, scrape, resell, or provide the Services to third parties as a service bureau, except as expressly permitted by us in writing.
- Use the Services in violation of applicable law, including messaging, consumer-protection, and data-protection laws in the jurisdictions of your Guests.
We may investigate suspected violations and may suspend or restrict features (including messaging) while we do.
5. Credits, payments, and refunds
- Paid usage of EventHelm draws on a prepaid Credit balance per organization. The actions that consume Credits, and their rates, are shown in the product before you confirm them.
- Credits are purchased through our payment partner, Paddle, which acts as merchant of record and handles all payment collection on its hosted checkout. We never collect or store payment card details. Your purchase is also subject to Paddle's terms presented at checkout.
- Prices, packages, and coupon terms are as displayed at the time of purchase and may change prospectively. Applicable taxes (including GST) are handled through checkout as required by law.
- Credits are prepaid, non-transferable between organizations, and hold no cash value. When your balance reaches zero, Credit-consuming actions pause until you top up; nothing already delivered is affected.
- Refunds. Except where required by applicable law or expressly stated otherwise, purchased Credits are non-refundable, including unused Credits on account closure. If you believe a purchase was made in error, contact us at admin@mindpairlabs.com within 7 days and we will review it in good faith.
6. Tickets and delivery
- Tickets generated in EventHelm are delivered as personal, secure links over Email and WhatsApp. Delivery depends on third-party networks and the accuracy of contact data you provide; we do not guarantee that any particular message will be delivered, opened, or read, though we report delivery outcomes to you.
- Ticket links function like the ticket itself. You and your Guests are responsible for keeping them confidential; we are not responsible for access resulting from a shared or forwarded link.
- Revoking and reissuing a ticket invalidates the prior ticket immediately, as described in the product. You are responsible for informing affected Guests.
- We are not the event organizer. Events are run by Organizers; we provide software. We are not a party to any arrangement between an Organizer and its Guests, and we are not responsible for the event itself, admission decisions, cancellations, or refunds of any amounts Guests may have paid an Organizer outside the platform.
7. Intellectual property
- The Services, including all software, designs, templates, and trademarks (including "MindPair", "MindPair Labs", and "EventHelm"), are owned by MindPair Labs or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.
- Except for your Content, no rights are transferred to you. You may not use our marks without prior written permission.
- If you send us feedback or suggestions, we may use them without restriction or obligation to you.
8. Third-party services
The Services interoperate with third-party services — for example, messaging networks, wallet providers, sign-in providers, and Paddle. Those services are governed by their own terms, and we are not responsible for their availability or conduct. Features that depend on a third party may change if that third party changes.
9. Availability, changes, and beta features
- We work to keep the Services highly available but do not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated where practical.
- We may improve, modify, or discontinue features over time. If a change materially reduces paid functionality, we will give reasonable advance notice to affected account holders.
- Features identified as beta, preview, or coming soon are provided as-is, may change or be withdrawn, and should not be relied on for production events.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your requirements or that ticket delivery, scanning, or reporting will be uninterrupted or error-free. You are responsible for maintaining appropriate contingency arrangements for your events (for example, an on-site guest list export).
11. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data; and (b) our total aggregate liability for all claims arising out of or relating to the Services in any twelve-month period is limited to the amounts you paid us for the Services in that period. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or wilful misconduct.
12. Indemnity
You will indemnify and hold harmless MindPair Labs and its officers, employees, and agents from claims, damages, and reasonable costs (including legal fees) arising from: your Content; your events; your violation of these Terms or applicable law; or your violation of any third party's rights, including a Guest's privacy or messaging-consent rights.
13. Suspension and termination
- You may stop using the Services and close your account at any time.
- We may suspend or terminate access, with notice where practicable, if you materially breach these Terms, create risk or legal exposure for us or others, or fail to pay amounts due. Where the breach is curable, we will give you a reasonable opportunity to cure it.
- On termination: your right to use the Services ends; you may request an export of your data within 30 days, after which we may delete it in accordance with our retention practices; unused Credits are forfeited except where a refund is required by law.
- Sections that by their nature survive termination — including ownership, disclaimers, liability limits, indemnity, and governing law — survive.
14. Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory consumer-law rights you may have, the courts at Delhi have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services. Before filing a claim, you agree to first contact us at admin@mindpairlabs.com and attempt in good faith to resolve the dispute informally for 30 days.
15. General
- Entire agreement. These Terms, the Privacy Policy, and any order or plan terms presented in the product are the entire agreement between us regarding the Services.
- Severability. If any provision is held unenforceable, the remainder stays in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices. We may notify you via the email on your account or in-product; legal notices to us go to admin@mindpairlabs.com or our registered office.
